　?。ㄒ唬┯媱潓ο蟠_定的法律依據(jù)本股票增值權(quán)計劃對象根據(jù)《公司法》《證券決》及其他有關(guān)法律,、法規(guī)和規(guī)范性文件以及富邦股份《公司章程》的相關(guān)規(guī)定，結(jié)合公司實際情況而確定,。

　?。?） The legal basis for determining the target of the plan is based on the Company Law, Securities Decision, other relevant laws, regulations and normative documents, as well as the relevant provisions of the Articles of Association of Fubon Corporation, combined with the actual situation of the company.

　　（二）計劃對象確定的職務(wù)依據(jù)本計劃涉及的計劃對象為公司董事會認定的對公司經(jīng)營業(yè)績和來,，來發(fā)展有直接影響的外籍管理人員,、核心業(yè)務(wù)（技術(shù)）人員。

　?。?） The positions determined for the planned targets are based on the foreign management personnel and core business (technical) personnel recognized by the company's board of directors as having a direct impact on the company's business performance and development.
