無(wú)論在感覺(jué)上怎么認(rèn)為,,離職人員持有的股權(quán)都是自己價(jià)值貢獻(xiàn)的對(duì)價(jià),是對(duì)曾經(jīng)付出勞動(dòng)的認(rèn)可,如果各方商定同意退出股權(quán),則應(yīng)當(dāng)要保證這些股權(quán)至少能夠按照退出時(shí)點(diǎn)的公允價(jià)值予以兌現(xiàn),公允價(jià)值可以參照公司近次的對(duì)外融資價(jià)格,或者參照公司近一期經(jīng)審計(jì)的每股凈資產(chǎn)價(jià)格確定,當(dāng)然,也可以根據(jù)實(shí)際情況由各方協(xié)商在公允價(jià)值的基礎(chǔ)上,以一定的溢價(jià)或者折價(jià)退出,具體價(jià)格主要取決于離職人員的歷史貢獻(xiàn)以及公司的支付能力和支付意愿等多種因素.
